Digital Product Terms and Conditions

Nexorio s. r. o. · version 1.3 · 9 October 2026

1. Supplier and scope

The supplier of digital products presented under the Denis Bubeník personal brand is Nexorio s. r. o., Slovak company ID (IČO) 55 918 263, Palánok 1, 949 01 Nitra, Slovakia. The company is registered in the Commercial Register of the District Court Nitra, section Sro, entry 62063/N. Tax number (DIČ): 2122130065. VAT identification number: SK2122130065. Contact: denis@nexorio.io. Supplier telephone: +421 914 131 415.

Nexorio has been registered under section 7a of the Slovak VAT Act since 22 February 2024 and is not a VAT payer. Section 7a registration does not itself confer VAT-payer status. Tax treatment of a transaction processed through Whop also depends on the buyer’s country and the platform’s tax settings. The final amount is shown before payment.

These terms cover one-time purchases of digital content. A consumer is an individual acting outside their trade, business or profession. Other buyers purchase as business customers. Individual diagnostics, implementation and ongoing management are agreed separately in a written proposal or contract.

Whop provides the platform, payment processing, account and entitlement verification. Nexorio supplies the content and grants its licence. Whop’s account and payment terms do not replace these terms or mandatory buyer rights.

2. What you purchase

The purchase covers one named English toolkit and the modules expressly listed in its order. Sales & Cashflow Toolkit includes Inquiries & Quotes, Job Margin, Payment Follow-up and Repeat Service. Job Delivery Toolkit includes Capacity Planning, Ready-to-Start Information and Complete Handover. Team & Delegation Toolkit includes Delegation with Decision Boundaries and Role-Based Onboarding. Complete Service Business Toolkit, when actually offered for sale, contains all nine modules. A partial toolkit does not grant access to the other toolkits. The order records its offer and content version. Existing individual-topic purchases retain their original scope and terms; buying a toolkit does not automatically upgrade or replace them.

Delivery consists of protected website content and the relevant downloadable ZIP. New toolkits are delivered in English. Previously purchased Slovak and English materials remain available under their original contractual scope. Changing public marketing language does not change an existing purchase. Depending on the product, the ZIP contains HTML, Markdown, CSV, text templates and, where stated, PDF. Each product lists its specific components.

Notion templates, video courses, personal consultations and individual implementation are not included unless expressly listed in the order. The optional free English-speaking peer community is a separate service under its own rules, not a priced component of the toolkit and not required to use purchased materials. It does not grant access to paid materials or guarantee individual advice, calls, a response time or continued community operation for the paid material's access period. Materials do not include third-party software licences or legal, accounting or medical advice. Outcomes depend on the buyer’s inputs and work; no specific time saving, revenue, margin or acceptance by the buyer’s customers is guaranteed.

3. Price, order and confirmation

The price is a one-time payment without automatic subscription renewal. The final amount, currency and product description shown before submitting payment are binding. The supplier’s identity, scope, access duration, delivery procedure and these terms must be available before payment. Early digital supply to a consumer starts after the separate information, acknowledgement and express consent described below. This act may take place in checkout or after purchase, always before the first supply. Without consent to early supply, content is delivered to a consumer after 14 days from contract formation. The full, no-reason refund within 14 days remains available even after immediate delivery, opening or downloading.

Orders are placed through Whop. The contract is formed when the binding order is successfully paid through Whop. A failed or abandoned payment does not create a purchase. The buyer receives order confirmation and the specific agreed terms on a durable medium no later than before delivery of paid content. For immediate delivery, confirmation includes the information, acknowledgement and express consent described below; if contract confirmation was already sent, we confirm these acts separately before delivery. Confirmation can be saved in an unchangeable form; a link to a changeable page alone does not replace it. Business purchasers should enter accurate invoicing details before payment.

The €249 founder price for the complete library applies to the first 20 successfully paid orders or for 30 days from the public opening of sales, whichever ends first. This is one shared limit across languages. The subsequent price is €349 as a one-time payment. The offer does not apply retrospectively to another product and does not begin while the hidden catalogue is being prepared.

4. Delivery and use period

After successful payment and entitlement verification, sign in through Whop at bubenikdenis.com/my-toolkits. If you purchase as a consumer, the separate act below takes place before the first early supply of paid content, including the ZIP. If it was properly completed in checkout, it does not need to be repeated at sign-in. Paid content is not provided through another route before these conditions are met. These consumer formalities are not automatically required for a business purchase. Micro access does not include a working pack or another topic. A working pack includes the microcontent for that same topic. Library access includes all nine working packs.

For immediate digital delivery, you receive separate information: if you buy as a consumer, consenting to the supply of digital content before the 14-day period ends and fulfilment of the legal conditions means that your statutory right of withdrawal ends when supply begins. Nexorio nevertheless gives you a contractual full refund within 14 days of contract formation, without a reason, even after opening or downloading. You acknowledge this information and expressly request early delivery through a separate affirmative act, such as an express checkout response or an initially unchecked field before the first supply. A negative or unclear response is not consent. Payment, sign-in or general acceptance of these terms is not this separate consent. We confirm the acknowledgement and consent on a durable medium before paid content is delivered. The digital-content exception does not automatically apply to any digital service; mandatory consumer rights remain unchanged.

If you purchase as a consumer and do not consent to early supply, the purchased content is delivered after 14 days from contract formation; the exact date is shown in confirmation. You may request the agreed full refund before then. The refund period does not restart when content is first opened. Once the period has passed, you are not required to consent to delivery before its expiry.

Online access is limited to 731 days, at least 24 months; Whop counts the basic period from successful payment. It does not renew automatically and is not lifetime access. If delivery starts later because you choose the 14-day waiting period or because of a technical problem on our side, we ensure that at least 24 months of online use remain when content becomes available. This is the supplier's commitment, not a claim that Whop automatically moves its expiry date. The exact end date is shown in the confirmation or customer account. Properly downloaded materials may continue to be used internally under the licence after online access expires, unless a refund or another event has ended that licence. All future products or unlimited updates are not promised.

If access or the correct ZIP is missing after your chosen delivery start, contact us with the order identifier and a description. We will verify payment and provide a remedy without undue delay. Statutory delivery, termination and refund rights for non-delivery, and remedies for defects, remain unchanged.

5. Technical requirements

Online content requires internet access, a modern browser and Whop sign-in. The website can be used on desktop and mobile. A ZIP requires a device capable of downloading and extracting it; opening local HTML files and calculators on mobile may vary by operating system. Excel and Google Sheets are not required to use the web version.

Working records and calculations are saved locally in the relevant browser. Signing in does not synchronise them between devices. Buyers should export their work and protect their devices. Do not enter passwords, access tokens, patient records or unnecessary customer personal data into illustrative tools.

6. Licence

The buyer receives a non-exclusive, non-transferable right to use the purchased materials internally within one business they own or their own sole-trader activity. Staff of that business may use working copies for its internal purposes. The attached EULA provides details.

Original files, blank templates and accounts may not be resold, published or shared with other businesses. Use across a group of separate companies, or supplying the materials to clients as your own product, requires a separate agreement. Applicable statutory exceptions and buyer rights remain unaffected.

7. Withdrawal and commercial refunds

Consumers have statutory withdrawal rights under applicable law. Immediate supply of digital content may fall within the statutory exception when the information, express consent and confirmation conditions described above are fulfilled. Regardless of that exception, consumers have a contractual right to request a refund of the full amount paid within 14 days of contract formation, without giving a reason and even after opening or downloading. The full refund covers the purchased content and associated online access. Any statutory extension for missing information, and remedies for non-delivery or defects, are not restricted.

Business buyers may also request a full refund without giving a reason within 14 days of contract formation, including after access. This is a contractual commercial benefit, not a statement that business customers have the same statutory consumer rights.

The Return Policy contains instructions and a model notice. Notices may be sent to denis@nexorio.io. Whop also supports requests through Orders → Billing history → Request Refund. Online withdrawal is available at https://bubenikdenis.com/withdrawal or in Slovak at https://bubenikdenis.com/odstupenie. These channels are not the only legally permitted means of sending an unequivocal statutory withdrawal notice.

Withdrawal or a full commercial refund ends online access and the licence for the refunded materials. This does not prohibit retaining the buyer’s own original business data, accounting records or evidence of the transaction. Statutory defect and complaint rights are not restricted to 14 days.

8. Non-delivery, defects and support

For a defective file, failed access or content that does not match the agreed description, email denis@nexorio.io with the order identifier, issue and browser or device used. Do not send your password or full card details. We will acknowledge the notice and assess appropriate remedies. Depending on the circumstances and applicable law, these may include delivery, correction, bringing content into conformity, a proportionate price reduction or termination and reimbursement.

These terms do not exclude or limit mandatory consumer rights for digital content or services. The absence of a guaranteed financial outcome does not exclude responsibility for delivering the agreed product.

9. Privacy, disputes and version

The separate Privacy Policy explains personal data processing. For a complaint or dispute, contact the supplier first and request a remedy. If we reject that request or do not reply within 30 days of its submission, a consumer may apply for alternative dispute resolution. For disputes concerning these digital products, the competent residual ADR body is the Slovak Trade Inspection (Slovenská obchodná inšpekcia), Central Inspectorate, Department for International Relations and Alternative Consumer Dispute Resolution, Bajkalská 21/A, P. O. Box 29, 827 99 Bratislava 27, Slovakia; ars@soi.sk or adr@soi.sk. Information and application: https://www.soi.sk/alternativne-riesenie-spotrebitelskych-sporov. Jurisdiction and acceptance of an application are subject to Act 391/2015; this does not restrict court remedies. Consumer ADR rights do not automatically extend to business buyers. The discontinued EU ODR platform is not used.

The governing law is Slovak law. This choice does not deprive consumers of mandatory protection applicable in their country of habitual residence. The order language determines the language version provided; a translation discrepancy must not restrict a statutory right or expand the purchased scope. An existing purchase is governed by the version provided at the time of that purchase.

Toolkit delivery and versions

The toolkit includes its listed guides, browser-based tools, working templates and a versioned ZIP. It helps the buyer organise a workflow and identify sensible automation steps; it does not install integrations or automatically operate the buyer's business. Browser data is device-local unless a specifically documented export/import is used. Offline downloads do not update automatically. Public examples are clearly identified as examples. Available files and the purchase confirmation identify the purchased version. No unspecified future product, unlimited updates or recurring service is included.

Owner Time Recovery Starter — product-specific scope

Nexorio s. r. o. · product owner-time-recovery-v1 · offer DEN-MICRO-RELEASE-20261009-v1 · content 1.0.2 · 9 October 2026

This specification applies only to an order for Owner Time Recovery Starter. It describes that product for section 2 of the Digital Product Terms; the general terms, EULA, Return Policy and Privacy Policy otherwise continue to apply. It does not change an existing toolkit or historical purchase.

The price is 9 USD as a one-time final checkout amount, including applicable checkout tax. There is no automatic renewal. The starter contains an English five-step guide, a browser observation/task/authority/review worksheet, a task-card template, blank and clearly labelled example observation CSV, a blank measured-review CSV, and an internal-use/file guide. Delivery is through the protected member website and its ten-file ZIP. The worksheet can save in the current browser and export/import a bounded JSON backup, CSV and task-card text, or print. Records do not synchronise between devices or staff. Extracted local HTML support varies by device; the protected web is the primary mobile version.

The exercise is to observe recurring owner involvement, select one low-risk routine task, write its decision/escalation boundaries, test a routine case and an exception, and review comparable observed owner time including oversight/corrections/setup. A labelled synthetic example is illustrative, not a customer result. The buyer supplies their own measurements and verifies the task owner/authority. No time, cash, revenue or other result is guaranteed. Capacity is not cash saved.

The starter is complete on its own. It grants no access to Sales & Cashflow, Job Delivery, Team & Delegation, the complete library, other individual topics or a paid community. Some task-card concepts overlap with Team & Delegation; owners of that toolkit should check their existing materials before buying. No automatic upgrade credit or consulting is included. No installed automation, integration, third-party licence, cloud/team synchronisation, Notion template, video course or individual call is included.

Online access is 731 days, at least 24 months, subject to the delivery/access provisions of the terms. Properly downloaded files remain available for the permitted internal use after online expiry unless the licence ends, including following a refund. The same full 14-day contractual refund from contract formation applies to consumers and business buyers even after access. Consumer early-delivery information/request/acknowledgement and durable confirmation are separate from payment or general terms acceptance; existing delayed-delivery rules remain unchanged.

Use the materials internally in one purchasing business under the EULA. Do not redistribute the original materials or upload confidential patient/client data, passwords or credentials. Technical/file/access support and refund questions go to denis@nexorio.io; no personal consulting or response-time SLA is added. Mandatory buyer rights and the supplier's obligation to deliver the agreed content remain unchanged.
